Terms of Service for dealerships
These terms apply to dealerships and other businesses that use TryRide. People who book a test ride don't accept these terms — their relationship is with the dealership, and our Privacy Policy explains how their data is handled.
1. About these terms
These terms are an agreement between the business that registers for TryRide ("you", "the Dealer") and Miloš Hampl, the operator of TryRide ("TryRide", "we"), about the TryRide platform and related services (the "Service"). By creating an account or using the Service you accept them on behalf of your business. The Service is intended for businesses only, not for consumers.
2. Your account
- Provide accurate, up-to-date details about you and your shop. We may verify them, and we decide whether to approve, keep or remove a shop.
- Keep your sign-in details secure and tell us promptly about any unauthorised use. You are responsible for everything done under your account, including by team members you invite, and for removing access when someone leaves.
3. The Service and how it changes
TryRide is evolving. We may add, change or remove features, change how the Service looks and works, extend it to other kinds of vehicles, businesses or countries, and offer some features only in certain plans. Features marked as beta or preview are provided as they are and may change or end without notice. If we remove or materially reduce a feature included in a paid plan you are currently paying for, we will give you at least 30 days' notice, and you may cancel and receive a pro-rata refund of fees prepaid for the remaining period.
4. Plans, fees and payment
- The Service is currently free. We may introduce paid plans, fees, usage limits or add-ons, and change plans, prices and what each plan includes.
- We will give you at least 30 days' notice (by email or in the Service) before a new fee applies to you or a price you pay goes up. The change applies from your next billing period. If you don't agree, you may cancel before it takes effect; otherwise the new terms apply.
- Unless stated otherwise, prices exclude VAT and other taxes, which are added where applicable.
- Payments may be processed by a third-party payment provider acting as reseller or merchant of record; its terms then also apply to the payment.
- Paid plans renew automatically for the same period until cancelled. You may cancel at any time, effective at the end of the current period. Except where these terms or the law provide otherwise, fees already paid are not refunded.
- If a payment fails, we may suspend paid features after reminding you.
- Promotional and free offers (such as trials or early-customer pricing) last for the stated period and may end; we will tell you before you start paying.
5. Your responsibilities
- Use the Service only for your genuine test rides, lawfully and in line with these terms.
- You are responsible for your offers and vehicles (accuracy, roadworthiness, insurance), for checking drivers' licences and identity, for the content and legal validity of your contract templates, and for complying with the laws that apply to your business and your customers.
- Don't misuse the Service: no unlawful, misleading or infringing content; no attempts to disrupt, overload, probe or reverse-engineer it; no access to other dealerships' data; no reselling without our permission.
6. Customer data and data processing
When you use the Service for your customers' bookings, you are the controller of their personal data and TryRide processes it on your behalf as your processor. This section is our data processing agreement under Art. 28 GDPR (and the UK GDPR):
- Subject and duration: the processing needed to provide the Service, for as long as you use it and until the data is deleted under this section.
- Data and data subjects: your customers and prospective customers, with their booking, identity-document, driving-licence, contract, signature and vehicle-condition data; and your team members' account data.
- Instructions: we process customer data only on your documented instructions — these terms and your use of the Service's features — unless the law requires otherwise (in which case we tell you, where the law allows). You authorise us to create anonymised, aggregated statistics, which no longer identify anyone, to run and improve the Service.
- Confidentiality: everyone at TryRide with access to customer data is bound by confidentiality. Our access to your admin and data is limited as described under "Access by the TryRide team" in section 9.
- Security: we maintain appropriate technical and organisational measures (Art. 32), including encryption in transit, encryption of identity-document and licence numbers and signatures at rest, private storage for contracts and photos, per-dealership access control and audit logging.
- Sub-processors: you give general authorisation for the sub-processors listed in our Privacy Policy. We will tell you about intended changes at least 14 days in advance; you may object on reasonable data-protection grounds and, if we can't address the objection, terminate. We bind sub-processors to the same obligations and remain responsible for them.
- International transfers: only with appropriate safeguards (adequacy decisions, the EU–US Data Privacy Framework or standard contractual clauses).
- Assistance: taking into account the nature of the processing, we help you respond to data-subject requests and meet your obligations on security, breach notification, impact assessments and prior consultation (Art. 32–36).
- Breaches: we notify you without undue delay after becoming aware of a personal-data breach affecting your customer data, with the information you need.
- End of processing: when your account ends, you can export your data for 30 days; afterwards we delete or anonymise customer data unless the law requires us to keep it. Backups are overwritten in their normal cycle.
- Audits: we make available the information needed to demonstrate compliance and allow reasonable audits, with reasonable prior notice, during business hours, at your cost and under confidentiality.
- Your part: you ensure you have a legal basis for the processing, inform your customers (you may refer them to our Privacy Policy) and give us only lawful instructions.
7. Electronic signatures
Contracts can be signed electronically on your device. As evidence we store the signature, the signed document and its fingerprint (SHA-256), the time, IP address and device details, and we may email the customer a copy. This is a simple electronic signature under the eIDAS Regulation; you are responsible for deciding whether it is suitable for your contracts.
8. Your content and our intellectual property
- Content you add to the Service (shop details, vehicles, photos, templates) remains yours. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, display and process it as needed to provide, improve and present the Service; the licence ends when you delete the content, except for copies we must keep by law or in backups.
- The Service, its software, design and brand belong to us; these terms give you a limited, non-exclusive, non-transferable right to use it while your account is active.
- We may freely use feedback and suggestions you send us, without obligation.
- We may name your business (name and logo) as a TryRide customer; tell us if you'd rather we didn't.
9. Availability and support
We aim to keep TryRide available and reliable but don't guarantee uninterrupted or error-free operation unless agreed in writing. We may carry out maintenance and try to schedule planned downtime outside busy hours. Support is provided by email on a reasonable-efforts basis.
Access by the TryRide team. Authorised TryRide staff may open your shop's admin and view or work with the data in it, including customer data, when this is needed to provide support you ask for, to investigate and fix problems, to keep the Service secure and running, or to check compliance with these terms or the law. Such access is limited to what the task requires, is subject to the confidentiality obligations in section 6, and every access is logged. On request, we will tell you when your admin was accessed and why.
10. Suspension and termination
- You can stop using the Service and close your account at any time.
- We may suspend or end your access immediately if you seriously or repeatedly breach these terms, don't pay, put the Service or others at risk, or if the law requires it. We may also end the Service or your account for any other reason with at least 30 days' notice, refunding fees prepaid for the unused period.
- After termination, "End of processing" in section 6 applies. Provisions that by their nature should survive termination (such as fees owed, liability and intellectual property) remain in effect.
11. Liability
- The Service is provided "as is" and "as available". To the extent the law allows, we exclude all implied warranties.
- Neither party is liable for indirect or consequential loss, or for loss of profit, revenue or goodwill.
- Our total liability under these terms for any 12-month period is limited to the fees you paid us for that period, or EUR 100 if you paid nothing.
- Nothing in these terms limits liability that the law does not allow to be limited — in particular for harm caused intentionally or through gross negligence, or for harm to life or health.
- You will indemnify us against third-party claims arising from your unlawful use of the Service, your content or your handling of customer data.
12. Changes to these terms
We may change these terms, for example when we add features or plans, change prices, or for legal or security reasons. For changes that materially affect you, we will give at least 30 days' notice by email or in the Service; you may terminate before they take effect, and if you keep using the Service afterwards, the updated terms apply. Changes required by law, or that only add new features or clarify wording, may take effect sooner.
13. General
- Law and courts: these terms are governed by Czech law (excluding its conflict-of-laws rules), and the courts of the Czech Republic have jurisdiction, without prejudice to mandatory rules that apply to you.
- Transfer: we may transfer this agreement to a company that takes over TryRide or its business (for example on incorporation, a merger or a sale), and will tell you if we do. You may transfer it only with our consent.
- Notices: we contact you at your account email; you can reach us at miloshampl@hotmail.cz.
- Entire agreement: these terms, together with any plan or order details and the Privacy Policy, are the entire agreement about the Service. If a provision is invalid, the rest remain in force.
- Language: if language versions differ, the English version prevails.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
